It's may be bug in RH 7.1. After I upgraded it's trying to unmount /dev
every time. But this shouldn't cause fsck on reboot.
You may also be having a problem with an "unkillable" process prevening
umount. I know that mozilla would become such process when you are using
2.4.x kernels except the latest ones.

Try 2.4.4-ac4 or 2.4.5-pre1.
GRUB is most likely not guilty.
