This is a known win2000 ( at least it is known to me ) problem.
Win2000 thinks that the linux partition is fat32, but then it notices
that it isn't a proper fat32 partition and offer to "fix", just as you
described. This is a windows bug.
As you reproduced it without grub, there is no point to discuss it on
the
grub mail list.

Contact Microsoft. After all you paid them money, while you paid nothing
to grub developers or to me.
