I have been thinking for a long time about the same issue with QuantumSTEP...

Did you look into running two different projects? One under some real open 
source licence
and another one commercially licensed. I think MySQL does (did?) it that way 
and Qt/Qtopia
was the same.

Another issue to consider is how you handle patches submitted from persons not 
doing
contract work for your company. They will have copyright of their patches. I.e. 
you must be
careful in either rejecting them, or paying and having some copyright 
assignment.
