You really don't want to go down that road without a lawyer's advice.
An argument of exactly the same form applies to the GPL.

N.B.  It's possible that the GPL's "distribution constitutes
acceptance" is valid while Google's "use of APIs constitutes
acceptance" is invalid.  My point is that this depends on the details
of the laws that the FSF and Google respectively cite in support of
their licensing, thus the need for a lawyer.
