problem with sub shell on Win2000

Folks-
I am trying to run emacs on my "new" Win2000 laptop. This was running
fine on my old win98 but fails here.
The problem is when I do an M-x shell command, I get "spawning child
process: invalid argument" in the emacs mini buffer.
I tryed up grading from v20.3 to v20.7 to no avail.
I suspect that there has been a change in the cmd world in windows
that is breaking this. In the FAQ there was mention of the virus scan
being an issue and that is a difference between my machines also but I
have to the best of my knowledge turned it off on the new system (for
now).
Can anyone help here?
