Keep in mind that most probably it will not be required to have full history
saving when converting, only the relevant versions are required (i.e. the
ones with labels on them). So the amount of actions could be limited.
Secondly you will certainly loose the clearcase information on merge points
("the red arrows"): CVS does not keep track of this information.
Another possible problem could arise if you have moved files arround in
clearcase. From clearcase's perspective this is still one item with one
history, from CVS's perspective each location is a separate item each with
its own history.

You might try adapting the pvcs2rcs script distributed in the contrib 
directory of the CVS source distribution.  If you manage to get it to 
work for ClearCase too, please recontribute it back to <address@hidden>.
